Notable representation:

  • Advising the lead managers in connection with Pakistan’s first sovereign Eurobond Issue in 1994 and Floating Rate Notes Issue in 1996; and subsequently advising on Pakistan’s Eurobond offerings in 2006, 2007, 2015 and 2016 and the US$ 1.5 billion Eurobond and US$ 1 billion Sukuk transaction in December 2017.

  • Advising Asian Development Bank and Morgan Stanley in partnership with the Crescent Group of Pakistan on the establishment of Pakistan’s first specific offshore country investment fund listed on the New York Stock Exchange.

  • Handled the incorporation and listing on the Stock Exchange of the Pakistan subsidiary of Gillette.

  • Acted as project counsel in relation to financing and IPO for the terminal operating company setting up a container terminal at Karachi Port.

  • Acting for the Export-Import Bank of the United States and other lenders in connection with restructuring of debt.

  • Advised bidders on the privatization of the Kot Addu and Jamshoro power stations of the Pakistan Water and Power Development Authority.

  • Acting for International Finance Corporation in relation to the reorganisation of the Engro group of companies in connection with its various debt and equity financings of that group.

  • Acting for the Joint Lead Managers in relation to Pakistan’s US$2 billion sovereign Eurobond offering.

  • Advising Nomura Investment Bank (Middle East) EC in connection with management/agency arrangements in Pakistan and on the private placement of foreign securities in Pakistan.

  • Advising the Islamic Trading Company EC in respect of morabaha agreements for commodity transactions in Pakistan.

  • Advising Citibank Pakistan and Goldman Sachs Asia Bank Limited in relation to over-the-counter derivative transactions including opining on the ISDA Master Agreements.

  • Acting for the initial purchasers in connection with the issue of senior notes and conducting due diligence on the Pakistani companies involved.

  • Advising HSBC in relation to the securities market and listing requirements under the laws of Pakistan.

  • Advised JPMorgan Securities in repurchase and reverse repurchase transactions and securities lending and borrowing transactions with the State Bank of Pakistan.

  • Advising on the issuance of the first green bond by WAPDA in the international bond market.
