Has worked on various corporate and commercial matters, primarily focussing on project financing in the private power sector and mergers and acquisitions in various sectors. Routinely appears in the High Court, the civil, district and banking courts in Pakistan. Also advises on queries related to companies, banking and finance, mergers and acquisitions, foreign exchange regulations, arbitration, family, labour, tax and environmental laws and notably in the following matters:

  • Acting for International Finance Corporation, Overseas Private Investment Corporation and local lenders in connection with the debt financing of and for International Finance Corporation in connection with its equity investment in a 50MW Wind Farm by Tenaga Generasi Limited, a subsidiary of Dawood Lawrencepur Limited;
  • Acting for the lenders in relation to the UEP Wind Power Project, including drafting and reviewing transaction documents and preparing legal opinions and reviewing and compiling conditions precedent to financial close;
  • Acting on behalf of the lenders in relation to the Star Hydro Power project, including drafting and reviewing the project and finance documents, reviewing and dealing with the conditions precedent and aiding the project company in reaching financial close;
  • Acting for Overseas Private Investment Corporation in connection with its financing of three approximately 50 MW wind power projects located inJhimpir, Thatta;
  • Acting for Overseas Private Investment Corporation and a consortium of Pakistani banks in relation to the financing of the 50MW Master Wind Power Project.
  • Assisting relevant government bodies including NEPRA, the Ministry of Water & Power and CPPA-G (as purchaser of power in Pakistan) in developing amendments to the Commercial Code applicable to CPPA-G and other stakeholders;
  • Acting on behalf of Engro Powergen Qadipur on a Project Management Contract to be entered into with the project company for a 50 MW wind power project including drafting a legal opinion in relation thereto;
  • Acting for the financial institutions/banks granting Islamic finance facilities to Hub Power Company (Private) Limited, including drafting the various Islamic financing documents;
  • Advising in relation to the sale of an aircraft and advising on the structure of the transaction and registration of international security interests in the aircraft under Pakistan law;
  • Advising Pakistan International Container Terminal Limited on prepayment obligations and related issues under the loan and security documents;
  • Acting for Uch-II Power (Private) Limited in relation to its proposed capacity expansion project including drafting and reviewing documents relating to the transaction;
  • Acting for the lenders in the Saba Power Project, and advising on various issues including, stamping, registration, lost title documents and the treatment of state debt versus secured creditors;
  • Advising AgenceFrançaise de Developpement on the credit facility to be granted to the Aga Khan;
  • Acting for International Finance Corporation in relation to its financing to Imperial Developer and Builders (Private) Limited pertaining to G-4 Tower Project;
  • Advising a Chinese construction and engineering company in relation to its proposed investment in a coal mine company and coal-fired power project company;
  • Advising Chinese investors and conducting extensive due diligence, for a bid on the entire shareholding of the private entity in a utility company operating in Sindh;
  • Advising branches of foreign companies or subsidiaries of foreign companies including Zorlu group of companies, Emerson Electric and Juniper Networks in relation to the filing requirements with regulators in Pakistan;
  • Acting for ZorluEnerji in a hearing before the Special Tribunal of National Electric Power Regulatory Authority, on a dispute with Hyderabad Electric Supply Corporation;
  • Advising Premier Mercantile Services (Private) Limited in relation to the acquisition of various logistics companies;
  • Advising the foreign party to a joint venture agreement and assisting the joint venture company in setting up of the company in Pakistan and all matters ancillary thereto including the Competition Commission of Pakistan;
  • Advising Honda Motors on the Import Policy Order and the applicable customs laws in relation to the import of its products into Pakistan;
  • Advising a foreign car manufacturer on setting up a CKD and SKD business in Pakistan;
  • Acting as local counsel for DLA Piper, and advising GAP Inc. Price Waterhouse Coopers and others in relation to all employment matters;
  • Preparing a report for Dufry International AG on structuring concerns for a joint venture entity in Pakistan;
  • Preparing a legal environment report in collaboration with Pinsent Masons LLP for a potential investor on the risks and benefits of investing in Pakistan;
  • Advising on matters related to interpretation of the Companies Profit (Worker’s Participation) Fund, 1968 and Worker’s Welfare Fund Ordinance, 1970;
  • Advising clients on laws relating to banking, companies and other Regulatory issues including updating surveys/questionnaires;
  • Conducting due diligence on various mergers and acquisitions and financings; and
  • Drafting plaints, applications and appearing in cases relating to civil disputes including, inter alia, arbitration, family law, eviction proceedings, contract law, company law, winding up petitions, and recovery under the relevant banking laws etc.
