Reviewed and drafted various finance facilities for running finance for one of the first and largest Independent Power Producer in Pakistan for amounting to over Rs. 23 Billion.Reviewed and drafted various IT agreements pertaining hardware/ software licensing for client banks.
Saifullah has been involved in both contentious and non-contentious legal practice. Since being enrolled as an Advocate of the lower courts in 2015, he hasbeen representing clients before various forums as well as advising corporate entities on corporate and commercial matters.
In addition to assisting senior counsel at the High Courts, Saifullah, has appeared on behalf of clients before various forums including the Securities and Exchange Commission of Pakistan, Sindh Revenue Board, Anti-Terrorism Courts and the District & Sessions Court.
He has been involved in drafting for cases filed at the High Court, District & Sessions Court, Banking Courts and the Special (Offences in Banks) Court having drafted suits, petitions, written statements, counter-affidavits, rejoinders, applications and notices in a range of practice areas including contractual & property disputes, banking matters, white-collar crime, customs, defamation and family law.
Saifullah has drafted numerous contracts including but not limited to, shareholders’ agreements, share purchase agreements, franchise agreements, employment contracts, non-disclosure agreements, etc. He has also filed numerous applications for registration of trademarks and has drafted and registered with the relevant sub-registrar documentation pertaining to transfer of property i.e. gift deed, sale/lease deed, agreement to sell and deed of rectification.
In addition, Saifullah advises companies on corporate governance matters and regulatory filings with the Securities and Exchange Commission of Pakistan. He has also assisted senior counsel in the High Court of Sindh in a merger petition of a public listed company, of which the petition, scheme of arrangement, Pre-Merger Application (to the Competition Commission of Pakistan) were prepared by him.
Legal counsel advising on the amalgamation of a group entity with and into a public listed company consisting of common directors and majority shareholders. Prepared the Pre-Merger Application for the approval of the Competition Commission of Pakistan, Scheme of Arrangement and Petition for the sanctioning of the scheme by the High Court of Sindh.
Appeared on behalf of clients before various forums, including but not limited to the Sindh Revenue Board, Securities and Exchange Commission of Pakistan and the District Courts, Karachi.
Part of the team carrying out due diligence of an asset management company having numerous open and closed ended funds and preparing a detailed report covering its corporate and legal status, licenses, immovable properties, pending litigation, material contracts and regulatory approvals.
Advised the subsidiary of a multinational grid solutions company on the reconstitution of its entire shareholding.
Assisted senior counsel in representing the subsidiary of a foreign entity in Pakistan in relation to the transfer of shares and change in ownership of the power and grid divisions of the subsidiary in Pakistan.
Legal counsel engaged in incorporation and winding up of corporate entities as well as registration and opposition in relation to intellectual properties of various clients.
Advised various clients on company secretarial matters including but not limited to filing of statutory forms with the Securities and Exchange Commission of Pakistan, drafting minutes of meetings of the Board of Directors and Annual General Meetings.
Advised a creditor bank on the scheme of amalgamation of two (02) public limited entities listed on the Karachi Stock Exchange with regards to the continuation of security andcharges on assets in favour of the creditor bank.
Assisted senior counsel in reviewing and drafting various financing documents including butnot limited to, short term financing agreements for the purposes of procuring commodities as per the Government of Pakistan directives as well as Islamic financing facilities documents such as Musawamah Facility Agreement.
Advised and provided legal opinions on wide range of matters including but not limited to,company and banking laws, outsourcing arrangements, stamp duties as well as providing legal opinions to banks on property documents provided for the purposes of availing finance facilities.
