Has worked on various corporate and commercial matters, contentious and non-contentious, with particular emphasis on finance facility agreements, implementation agreements and power purchase agreements in respect of the power sector (coal, oil and gas powered projects) as well as advising on aviation law, company law, labour law, data protection law, foreign exchange law and related queries. Has also drafted applications, affidavits, counter affidavits, and conducted legal research for matters under litigation in the Sindh High Court. Notably:

  • Reviewing tariff determinations issued by NEPRA in respect of various power projects and analyzing inconsistencies if any against the power purchase agreements;
  • Conducting legal research on aviation laws of Pakistan particularly in respect of registration and de-registration of aircrafts, registration of international security interests in the aircraft under Pakistan law and novation;
  • Acting for Apollo Aviation Group LLC, in relation to purchase and securitization of a portfolio of aircrafts. Conducted high level review of the lease agreements and amendment agreements to ensure compliance with Pakistan laws and regulations to effect the transaction stipulated in the agreements. Completing questionnaire and assisting the Partner in drafting a legal opinion in respect of the securitization of the aircraft and novation of the parties;
  • Preparing an article for publishing in the “Guidance of Laws of The ‘Silk Road Economic Belt and The 21st-Century Maritime Silk Road’ (‘B&R’) Countries and Regions for Investors” book, for Grandall Law Firm, Beijing;
  • Conducting legal research on labour laws with particular emphasis on the role of the collective bargaining agent for the purposes of preparing a memorandum for a Chinese company;
  • Assisting in reviewing equity documents of Uch Power Limited and preparing a memorandum reflecting the discharge of lenders obligations;
  • Drafting an extension lease agreement for the purposes of extending the duration of the actual agreement for a guest house facility provided by Uch Power Limited to its employees;
  • Reviewing and conducting research on foreign exchange policies, companies ordinance and data privacy laws and responding to queries and questionnaires regarding remittance of money from Pakistan, incorporation of companies and transfer of personal (employee) data and transfer of funds from foreign accounts into local accounts and nostro/vostro transactions
  • Assisting in drafting finance facility and Islamic finance agreements for inter alia, Habib Bank Limited and Bank Alfalah Limited acting in their capacity as lenders in relation to a syndicated term finance and standby letter of credit facility, availed by Hub Power Company Limited;
  • Drafting project, security and other agreements and letters for Hub Power Company Limited to ensuring lenders accede to the securityand assisting the Partners in drafting a memorandum proposing amendments to be made to the project documents;
  • Conducting extensive legal research on the coal mining sector of Pakistan and assisting in preparing a due diligence report for China Development Bank Corporation. Analysing identifiable risks andmitigation of such risks; preparing condition precedent and subsequent lists;
  • Acting for International Finance Corporation in respect of a loan availed by Coca-Cola Beverages Pakistan Limited. Reviewing the loan agreement and ensuring the loan and the repayment schedule are registered with the State Bank and relevant chapters of the Foreign Exchange Manual are complied with. Prepared a legal opinion reflecting the same for the client;
  • Preparing responses for MasterCardInternational Incorporated’s questionnaires in respect of two different scenarios; use of MasterCard’s electronic cards by NGOs and use of MasterCard’s electronic cards by pharmaceutical companies in Pakistan;
  • Preparing responses for a Turkish retail company’s questionnaire in relation to inter alia, incorporation of a company, active marketing, labor laws, and visa policies under Pakistan law.
  • Drafting a conveyance deed for a client for the sale and purchase of a land, subject to the terms and conditions of the head lease agreement;
  • Assisting in preparing a legal opinion for DLA Piper France LLP, in respect of air carriers liability and aircraft manufacturers liabilities particularly in terms of death of passengers on board a domestic flight after high level review of all relevant local laws;
  • Answering queries in relation to open ended and close ended foreign funds;
  • Assisting the Partner in drafting a memorandum for EFU General Insurance Limited in respect of the applicability of a power of attorney in the given circumstances and negotiable instruments under the Companies Ordinance, 1984;
  • Conducting research on the subject of ‘armed conflict’ in light of the Montreal Convention, Carriage by Air Act 2012 and case laws and preparing a memorandum for Thai Airways International Public Company Limited to conclude exemption of liability;
  • Reviewing internal employee data policies of Symantec Limited, United Arab Emirates. Ensuring compliance with Pakistan data protection laws and advising necessary measures to be undertaken;
  • Assisting in responding to queries posed by Norton Rose Fulbright LLP, in relation to transfer of a private limited company into a public unlisted companies and transfer of shares;
  • Acting for an international tobacco company undertaking business in Pakistan, advising on local competition laws and competition regulations in respect of amending and extending the market test agreement and entering into a fresh agreement with Numeric Distribution Network (Pvt.) Limited;
  • Assisting in responding to Goldman Sachs Asia LLC’s internal policies for managing self-funded currencies in Pakistan;
  • Preparing a memorandum for Clifford Chance LLP in respect of the local automotive industry laws and policies for Hyundai Motor Company; setting up a company in Pakistan by way of Disassembled Knock Down and Complete Knock Down business models.
